1. Purpose

These Terms of Use and Sale (hereinafter the “Terms”) govern access to and use of the MyBoardEval platform, published by MyBoardEval SAS, as well as the contractual terms applicable to the purchase of an annual license.

3. Scope of Application

The platform is strictly intended for professional use by boards of directors, committees, executives, and governance bodies. Any personal or unauthorized use is excluded from the scope of these Terms.

 

4. License and Duration

Access to the platform is provided under a non-renewable annual license. Renewal is initiated manually by the client through the interface at the end of the contractual period.

 

5. Pricing and Payment

Applicable pricing is detailed in the commercial offer. Payment is made online through the secure Stripe system. No refunds are granted in case of non-use during the contractual period.

 

6. Intellectual Property

The platform, its source code, structure, evaluation content, and generated reports are protected under copyright and intellectual property law.

 

Clients are granted a limited, non-exclusive right to use the reports internally and in connection with governance activities. Any reproduction, transmission, or redistribution is strictly prohibited without prior written authorization.

 

7. Confidentiality

All content entered, collected data, evaluation results, and generated reports are strictly confidential and reserved for internal use by the client. Any external disclosure, even partial, must be expressly authorized in writing by MyBoardEval SAS.

 

8. Liability

MyBoardEval SAS provides a secure, reliable service consistent with industry standards. However, evaluations and reports are based on user-provided data and interpreted under the client’s own responsibility.

 

MyBoardEval shall not be held liable for any misuse, misinterpretation, or misapplication of the results.

 

9. Personal Data

Personal data processing is governed by our Privacy Policy, available on the website, and complies fully with the General Data Protection Regulation (GDPR). Users may exercise their data protection rights at any time by writing to: contact@myboardeval.com.

 

10. Termination

Clients may terminate their subscription at any time via their personal dashboard. In the event of a material breach of these Terms, MyBoardEval reserves the right to suspend or terminate access to the platform without prior notice or compensation.

 

11. Governing Law and Jurisdiction

These Terms are governed by French law. In the event of a dispute, exclusive jurisdiction is granted to the courts of Paris, including in cases involving multiple defendants or third-party claims.
